End User License Agreement (EULA)

This End User License Agreement ("Agreement" or "EULA") is a legally binding contract between you (either an individual or a single legal entity, referred to as "Licensee", "you", or "your") and Mike Sorrentino Music Production ("Licensor", "we", "us", "our"). This Agreement governs your acquisition, installation, execution, and use of our audio plugins, software products, and associated documentation as identified in the Schedules attached hereto (each a "Product").

READ THIS AGREEMENT CAREFULLY PRIOR TO INSTALLING OR USING THE SOFTWARE. BY DOWNLOADING, INSTALLING, COPYING, ACTIVATING, OR RUNNING THE PRODUCT, YOU AGREE TO BE BOUND BY THE PROVISIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INSTALL, EXECUTE, OR USE THE SOFTWARE; PROMPTLY REMOVE ALL BINARY COPIES FROM YOUR COMPUTING HARDWARE.

1. Grant of License

1.1. License Scope: Subject to your ongoing compliance with this Agreement and receipt of applicable license fees, we grant you a personal, non-exclusive, non-transferable (subject to Section 1.3), non-sublicensable, worldwide license to install, activate, and execute the binary machine code of the Product on the number of personal machines specified in the applicable Schedule.

1.2. License Nature: The Product is licensed, not sold. We retain all absolute right, title, interest, and intellectual property ownership in and to the Product binaries, internal components, and documentation. No title to intellectual property is conveyed to you.

1.3. Assignment & Exhaustion: You may not transfer, resell, lease, lend, or assign your license rights or activation credentials to any third party without our prior written authorization. Where software license resale is protected under mandatory, non-waivable statutory provisions of applicable European Union law (specifically the application of the UsedSoft v. Oracle doctrine under Directive 2009/24/EC), any transfer shall be subject to our standard license transfer verification policy, requiring the permanent de-registration and cryptographic deactivation of the software from all your local hardware prior to transfer approval, alongside payment of our administrative transfer processing fee of €15.

2. Restrictions and Operational Covenants

Except as expressly authorized in this Agreement or by an applicable attached Schedule, you shall not:

2.1. Copy, duplicate, or replicate the Product, except to maintain a single machine-readable copy solely for archival, emergency backup purposes;

2.2. Sublicense, distribute, rent, lease, time-share, host in a cloud computing environment, or provide Software-as-a-Service (SaaS) access to the Product to any third party;

2.3. Reverse engineer, decompile, disassemble, modify, or attempt to derive the underlying source code, DSP filter networks, algorithms, or architectural topology of the Product, except and only to the extent that such activity is expressly permitted by non-waivable statutory law (specifically Article 64-quater of Italian Law No. 633/1941 and Article 6 of Directive 2009/24/EC). If you require interface specifications necessary to achieve interoperability with an independently created computer program, you shall first request such information in writing from us, specifying the interface requirements. We reserve the reasonable right to fulfill such interface specifications directly under reasonable conditions;

2.4. Bypass, alter, decrypt, circumvent, or disable any digital rights management (DRM), license key validation routines, machine-hashing checks, or copy protection mechanisms embedded within the Product;

2.5. Remove, obscure, or alter any proprietary notices, labels, copyright marks, or registered trademarks affixed to or embedded within the Product, GUI assets, or related digital documentation;

2.6. Use the Product, its DSP structures, or sound samples to build, train, optimize, or contribute to any competing digital audio plugin, virtual instrument, digital signal processing library, or commercial generative artificial intelligence model.

3. Intellectual Property and Output Ownership

3.1. Licensor Intellectual Property: The Product, including its source code, compiled binaries, graphical user interfaces (GUI), visual layouts, DSP code, mathematical models, factory audio presets, wavetables, impulse responses, and written documentation, constitutes proprietary intellectual property protected by Italian, European, and international copyright, trade secret, and trademark treaties.

3.2. Licensee Audio Output Ownership: We assert no ownership, copyright interest, or royalty claim over any audio recordings, master tracks, musical compositions, sound effects, or commercial audio stems rendered, synthesized, processed, or exported by you using the Product. You retain sole and exclusive ownership of all original audio output generated through your authorized use of the software.

3.3. Preset and Content Restrictions: While you are fully licensed to use factory presets, wavetables, and impulse responses within your individual commercial and non-commercial musical compositions and media projects, you may not extract, isolate, repackage, redistribute, or resell the factory sound design assets, presets, wavetables, or impulse responses as standalone preset packs, sample libraries, or audio building blocks.

4. Evaluation and Trial Versions

4.1. If a Product is designated as an evaluation, beta, or trial version (including the 14-day trial for Tensor Field under Schedule A), the license granted herein is strictly restricted to temporary evaluation purposes within non-commercial production environments.

4.2. Trial versions are provided "AS-IS", without warranty of any kind, and may contain time-lock routines, intermittent operational muting, or background noise generation designed to restrict unauthorized post-trial execution.

4.3. Following the termination of the stated trial period, your right to use the Product automatically ends. Continued operation requires the purchase and activation of a valid commercial license.

5. Maintenance, Updates, and Support

5.1. Maintenance Patches: We may, from time to time, develop and distribute maintenance updates, performance enhancements, and bug fixes (collectively, "Updates"). This Agreement governs all such Updates unless an update is distributed with a superseded EULA.

5.2. Conformity Updates for EU Consumers: If you are a Consumer within the European Union, we will provide such security and maintenance updates as are necessary to maintain the Product in statutory conformity in accordance with Directive (EU) 2019/770 and Articles 135-octies et seq. of the Italian Consumer Code throughout the period reasonably expected by a consumer.

5.3. Major Upgrades: We reserve the right to release major architectural overhauls, significant platform rewrites, or expanded feature iterations as separate, paid commercial upgrades.

6. Warranty and Statutory Conformity

6.1. Statutory Conformity (EU/UK Consumers): If you are an individual purchasing as a Consumer resident in the European Union or the United Kingdom, we warrant that the Product shall conform to the statutory subjective and objective criteria of conformity set forth under Directive (EU) 2019/770 and applicable national consumer implementations. Nothing in this Agreement restricts, limits, or overrides your statutory remedies for non-conformity.

6.2. General Commercial Disclaimer (B2B and Non-Consumer): TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, AND EXCEPT AS EXPRESSLY PROVIDED IN SECTION 6.1, THE PRODUCT IS DELIVERED "AS IS" AND "AS AVAILABLE". WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR ACOUSTIC PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE OPERATION OF THE PRODUCT WILL BE COMPLETELY ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH EVERY COMBINATION OF DAW HOST PLATFORM, OPERATING SYSTEM SUB-VERSION, AUDIO INTERFACE DRIVER, OR THIRD-PARTY HARDWARE CONTROLLER.

7. Limitation of Liability

7.1. Nothing in this Agreement shall exclude or limit our liability for:

  • Willful misconduct (dolo) or gross negligence (colpa grave) pursuant to Article 1229 of the Italian Civil Code;

  • Death or bodily injury caused by our negligence;

  • Fraud or fraudulent misrepresentation; or

  • Any other liability that cannot be legally waived, restricted, or excluded under non-waivable statutory consumer protection laws.

7.2. Subject to Section 7.1 and to the extent permitted by law, our aggregate liability for all claims arising out of or related to this Agreement or the use of the Product shall be strictly limited to the actual amount paid by you for the specific Product license giving rise to the claim. For zero-cost products (such as DNA Track Purifier), our total direct liability shall be capped at zero euros (€0.00).

7.3. In no event shall we be liable for indirect, incidental, special, exemplary, or consequential damages, including loss of revenue, loss of business contracts, lost DAW project sessions, lost musical tracks, studio downtime costs, or hardware damage, even if we were informed of the possibility of such losses.

8. Term and Termination

8.1. Term: This Agreement is effective upon your initial download, installation, or execution of the Product and remains in effect perpetually until terminated.

8.2. Termination for Breach: We reserve the right to terminate this Agreement immediately without judicial notice if you fail to comply with any material term or condition herein (including Sections 1, 2, or 3).

8.3. Post-Termination Obligations: Upon termination, all licensing grants conveyed to you cease immediately. You must permanently stop running the Product, delete all instances of the software from all storage devices, and, upon request, provide written confirmation that all binary copies and license keys have been destroyed.

9. Third-Party Trademarks, Frameworks, and Notices

9.1. Steinberg VST Notice: VST is a registered trademark of Steinberg Media Technologies GmbH.

9.2. Apple Audio Units Notice: Audio Units, AU, macOS, and Core Audio are registered trademarks of Apple Inc. The Product is developed independently and is not endorsed, sponsored, or certified by Apple Inc.

9.3. Third-Party Code Components: The Product may incorporate open-source libraries, digital audio frameworks, or third-party code modules, including the JUCE cross-platform C++ framework. Third-party copyright notices, license texts, and attribution schedules are located within the Product installation folder or accompanying documentation.

10. Data Protection and License Verification

10.1. The Product may incorporate cryptographic license validation routines that periodically transmit non-personal system diagnostic parameters (such as an anonymized machine hardware hash, operating system version, and license key validation string) to verify license integrity and prevent software piracy.

10.2. Telemetry and registration data are processed in strict compliance with Regulation (EU) 2016/679 (General Data Protection Regulation / GDPR) and our Privacy Policy. The Product does not monitor, inspect, intercept, or transmit any audio content, project files, or personal session data created within your DAW host.

11. Governing Law and Legal Venue

11.1. This Agreement is governed by and construed in accordance with the substantive laws of the Republic of Italy, excluding its conflict-of-law principles and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

11.2. Consumer Jurisdiction: If you are a Consumer residing in the European Union or United Kingdom, you retain the protection of the mandatory laws of your country of residence (Rome I, Art. 6). Any legal disputes shall be subject to the exclusive jurisdiction of the competent court of your place of residence or domicile (Brussels I bis, Art. 18; Italian Consumer Code, Art. 66-bis).

11.3. Commercial Jurisdiction (B2B): If you are a commercial entity, enterprise, or professional user, you agree that any dispute, controversy, or claim arising out of or relating to this Agreement shall be submitted to the exclusive territorial jurisdiction of the Courts of Rome, Italy (Foro di Roma).

Schedule A — Tensor Field

  • Product Name: Tensor Field

  • License Classification: Single-User Commercial License.

  • Authorized Installations: May be installed and activated on up to 3 computing systems simultaneously, provided that all machines are owned, rented, or directly controlled by you, and the Product is operated exclusively by you. Concurrent, multi-user execution on a shared network is strictly prohibited.

  • Supported Plugin Formats: VST3, Audio Units (AU).

  • Target Architectures: macOS (Intel & Apple Silicon 64-bit), Windows (x64 64-bit).

  • Free Evaluation / Trial Mode:

    • Duration: Fourteen (14) continuous calendar days from the date of initial launch.

    • Functionality: Full, unrestricted processing capability during the trial period.

    • Post-Trial Operation: Upon expiration of the 14-day trial period, the software automatically mutes audio processing output until an authenticated commercial license key is activated.

  • Sound Design & Presets Policy: Audio processed or synthesized via Tensor Field may be exploited commercially without royalties. Factory presets, wavetables, and algorithm profiles may not be extracted, compiled, or redistributed as standalone commercial sound libraries or preset expansions.

Schedule B — DNA Track Purifier

  • Product Name: DNA Track Purifier

  • License Classification: Freeware / Zero-Cost Commercial License.

  • Grant of Use: Granted free of monetary charge for both personal and commercial music production and audio engineering workflows.

  • Redistribution Restrictions: You may not mirror, redistribute, bundle, or host the installer binaries on third-party servers, websites, or physical media without prior written consent.

  • Supported Plugin Formats: VST3 and Audio Units (AU).

  • Target Architectures: macOS (Intel & Apple Silicon 64-bit), Windows (x64 64-bit).

  • Warranty & Financial Recourse: Being provided free of monetary charge, the software is provided strictly "AS-IS", with zero financial warranty or monetary refund obligations applicable under any circumstances.

  • Right of Deprecation: We reserve the right to discontinue, modify, or terminate maintenance updates for DNA Track Purifier at any time without prior notice or liability.
