These Terms of Sale ("Terms") govern the purchase, licensing, and supply of digital products—including downloadable audio software, digital audio plugins, sound presets, and related digital assets (collectively, "Products")—originated by Mike Sorrentino Music Production ("Licensor", "we", "us", "our") and distributed through www.mike-sorrentino.com and our authorized payment and distribution platforms.

By placing an order for a Product, you ("Customer", "you", "your") acknowledge and agree to be bound by these Terms and the End User License Agreement ("EULA") incorporated herein.

2. Products and System Specifications

2.1. We supply digital software in the form of downloadable digital audio plugins (such as VST3 and Audio Units formats) and associated digital data.

2.2. Product specifications, functional parameters, core features, digital audio workstation ("DAW") compatibility, minimum operating system environments, and hardware requirements are set forth on the respective Product page at the time of purchase. It is your sole responsibility to ensure that your host system satisfies the stated hardware and software prerequisites prior to ordering.

2.3. We reserve the unilateral right to update pricing, retire promotional or introductory offers, and adjust retail pricing at our discretion. Completed purchases are insulated against subsequent price changes.

3. Payment Methods, Pricing, and Billing

3.1. Accepted Payment Methods: All orders placed through www.mike-sorrentino.com are processed securely through our authorized Merchant of Record, Lemon Squeezy (Lemon Squeezy LLC and its regional operating affiliates). You may settle payments using the following accepted payment methods:

  • Major Credit and Debit Cards: Visa, MasterCard, Maestro, American Express, Discover, Diners Club, and JCB;

  • Digital Wallets and Instant Payments: Apple Pay, Google Pay;

  • PayPal, Alipay, WeChat Pay, Cash App Pay, and bank debits like ACH.

3.2. Timing of Billing: Your chosen payment method is debited immediately upon your submission of the order and successful authorization through the secure checkout interface. Delivery of digital license keys and download access is triggered only after full settlement confirmation is received from the payment processor.

3.3. Currencies and Taxes: Prices are displayed in EUR (€). Total checkout amounts are inclusive of applicable Value Added Tax (VAT) or regional sales/consumption taxes calculated by the Merchant of Record based on your verified billing location. If you transact in a currency different from your payment card’s denomination, your card issuer or banking provider may apply independent currency conversion fees.

3.4. Merchant of Record Structure: Lemon Squeezy acts as the Merchant of Record for order processing, billing collection, statutory VAT/tax remittances, and the issuance of fiscal invoices. Transactions on your financial statement will appear under the billing descriptor “LEMSQZY*MSMP". These Terms govern our direct contractual supply of the software license, updates, technical support, and product warranty.

3.5. Transaction Security: All transactional data is transmitted over point-to-point cryptographic protocols (TLS/SSL encryption) conforming to PCI-DSS Level 1 compliance standards. We do not store, access, or intercept your full credit card numbers or financial account authentication data on our servers.

4. Electronic Delivery

4.1. Delivery is executed entirely via electronic transmission. Following successful authorization of payment by the Merchant of Record, you will receive access to the Product via an electronic download link and/or a cryptographically generated license authorization key sent to the email address entered during checkout.

4.2. Physical media (e.g., optical discs, USB flash media) is neither offered nor provided.

4.3. You are responsible for supplying an accurate, accessible email address during checkout. We bear no liability for failed delivery resulting from incorrect email entry, third-party spam filtering, or server-level rejections beyond our reasonable control.

5. Grant of License and Intellectual Property

5.1. The purchase of a Product does not constitute an assignment or sale of the underlying software, source code, DSP algorithms, or digital media. Purchase conveys solely a non-exclusive, non-transferable software license subject to the conditions detailed in our End User License Agreement ("EULA").

5.2. All copyrights, trade secrets, patents, trademarks, and other intellectual property rights in and to the Products remain the exclusive property of Mike Sorrentino Music Production and its licensors.

5.3. License resale, unauthorized distribution, key-sharing, account rental, or group pooling is strictly prohibited except where explicitly mandated by applicable statutory law.

6. Statutory Right of Withdrawal (EU and UK Consumers)

6.1. If you are an individual purchasing as a consumer ("Consumer") habitually resident in the European Union or the United Kingdom, you generally possess a statutory right to withdraw from a distance contract within fourteen (14) calendar days without providing justification.

6.2. Express Consent and Loss of Withdrawal Right: Pursuant to Article 16(m) of EU Directive 2011/83/EU and Article 59, paragraph 1, letter (o) of the Italian Consumer Code (D.Lgs. 206/2005), the statutory 14-day right of withdrawal for digital content delivered electronically expires immediately once the performance of the contract has begun. By completing checkout, you:

  • Expressly request and consent to the immediate digital delivery and performance of the Product prior to the expiration of the statutory 14-day withdrawal period; and

  • Acknowledge that you permanently forfeit your statutory right of withdrawal once digital transmission has begun (i.e., when download access is initiated or the unique license key is generated and transmitted).

6.3. If you have not initiated the digital download or accessed/unlocked the generated license key, you may exercise your statutory right within the 14-day window by sending an unambiguous written statement to info@mike-sorrentino.com.

6.4. This Section 6 does not apply to non-consumer purchases (B2B transactions conducted by commercial entities, freelancers, or professionals using a corporate account or commercial tax ID).

7. Contractual Refund Policy

7.1. Independent of the statutory withdrawal rights in Section 6, we provide a discretionary, technical-resolution refund policy:

We offer a 14-day refund policy from the date of purchase exclusively in instances where a reproducible technical defect, crash, or DAW incompatibility prevents the Product from operating on a supported system, and our technical support team is unable to resolve the issue within five (5) business days of receiving a verified crash log and support ticket.

7.2. All refund requests must be submitted directly to info@mike-sorrentino.com accompanied by your Merchant of Record order number, system specifications, host DAW platform, and a comprehensive description of the issue.

8. Free Trials (Tensor Field)

8.1. We provide an evaluation license for Tensor Field permitting full access to its functional capabilities for a continuous evaluation period of fourteen (14) calendar days.

8.2. No payment instrument capture or billing authorization is required to access the Tensor Field evaluation trial unless explicitly stated on the checkout portal.

8.3. Following the expiration of the 14-day trial period, the software will automatically deactivate or restrict its processing routines as defined in Schedule A of the EULA, unless a commercial license is purchased and validated.

9. Support and Version Maintenance

9.1. Purchase of a commercial license grants you access to free maintenance, compatibility, and bug-fix updates within the same major software release cycle (e.g., updates moving from version 1.0.x to 1.x.x).

9.2. Major architectural revisions containing expanded feature architectures or new DSP designs (e.g., version 1.x.x to 2.x.x) constitute separate products and may be offered as paid upgrades at our sole discretion.

9.3. Technical support is provided via electronic mail at info@mike-sorrentino.com. We endeavor to respond to verified support queries within three (3) business days, subject to operational capacity and Italian public holidays.

10. Statutory Legal Warranty of Conformity

10.1. Consumer Scope (EU/Italian Law): If you are an individual purchasing the Product as a Consumer habitually resident in the European Union, you benefit from the statutory Legal Guarantee of Conformity (Garanzia Legale di Conformità) governing digital content and digital services pursuant to Articles 135-octies through 135-vicies ter of the Italian Consumer Code (D.Lgs. 206/2005, implementing EU Directive 2019/770).

10.2. Conformity Standards: We warrant that the Product conforms to the subjective and objective requirements agreed upon, corresponds to the technical descriptions, formats (VST3/AU), and specifications published on our website, and is supplied with all accessories, instructions, and customer assistance as reasonably expected for digital audio software of the same category.

10.3. Statutory Duration and Burden of Proof:

  • Duration: In the case of a single supply of digital content (perpetual license delivery), we remain liable for any lack of conformity that exists at the moment of supply and becomes apparent within two (2) years from the date of electronic delivery.

  • Presumption Period: Any lack of conformity that becomes apparent within one (1) year of delivery is presumed to have existed at the time of supply, unless we demonstrate that the digital environment of the Consumer is incompatible with the declared technical system requirements.

  • Cooperation for Verification: To determine whether the lack of conformity is caused by your local digital environment (DAW version, OS host, conflicting third-party audio drivers), you are required to reasonably cooperate with our technical support team to the extent necessary and technically feasible.

10.4. Statutory Remedies: In the event of a verified lack of conformity, you are entitled to:

  • Have the digital content brought into conformity (via software patch, hotfix, or replacement binary) free of charge, within a reasonable period, and without significant inconvenience to you; or

  • An appropriate proportional reduction of the price paid, or the absolute termination of the contract with a full refund of amounts paid, pursuant to Article 135-quaterdecies of the Italian Consumer Code, if bringing the Product into conformity is impossible or imposes disproportionate costs on us.

10.5. Mandatory Updates: Throughout the period reasonably expected by a consumer, we will provide you with software updates (including stability fixes and security patches) necessary to maintain the Product in statutory conformity. We are not liable for non-conformity if you fail to install an update supplied by us within a reasonable time.

10.6. B2B Exclusion: If you purchase the Product for commercial, trade, or professional purposes (B2B transaction), the statutory Consumer Code warranty does not apply. Commercial purchases are governed exclusively by the warranty provisions of the Italian Civil Code (Articles 1490 et seq. c.c., limited to one year from delivery and subject to defect notification within eight days of discovery).

11. Limitation of Liability

10.1. Nothing in these Terms shall limit or exclude our liability for:

  • Willful misconduct (dolo) or gross negligence (colpa grave) pursuant to Article 1229 of the Italian Civil Code;

  • Death or personal injury resulting from our negligence;

  • Fraudulent misrepresentation; or

  • Any statutory liability that cannot be modified, waived, or excluded under non-derogable provisions of applicable law (including mandatory consumer protection statutes).

10.2. Subject to Section 10.1 and to the maximum extent permitted by applicable law, our total aggregate liability arising out of or related to your purchase or use of the Product shall be limited exclusively to the direct purchase price actually paid by you for the Product giving rise to the claim.

10.3. Under no circumstances shall we be held liable for indirect, incidental, special, exemplary, or consequential damages, including but not limited to loss of business, lost profits, lost goodwill, corrupted audio data, damaged DAW sessions, studio downtime, or third-party client claims, even if advised of the possibility of such damages.

12. Governing Law and Dispute Resolution

11.1. These Terms and all contracts formed hereunder are governed by and construed in accordance with the substantive laws of the Republic of Italy, excluding its conflict-of-law principles and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

11.2. Consumer Venue: If you are an individual purchasing as a Consumer resident in the European Union, European Economic Area, or United Kingdom, you retain the protection of the mandatory provisions of the law of your country of habitual residence pursuant to Article 6 of Regulation (EC) No 593/2008 (Rome I). Any dispute arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the competent court of your place of residence or domicile pursuant to Article 18 of Regulation (EU) No 1215/2012 (Brussels I bis) and Article 66-bis of the Italian Consumer Code (D.Lgs. 206/2005).

11.3. Commercial Venue (B2B): If you are purchasing as a business, enterprise, or professional entity, you agree that any dispute, controversy, or claim arising out of or relating to these Terms shall be submitted to the exclusive territorial jurisdiction of the Courts of Rome, Italy (Foro di Roma).

13. Out-of-Court Dispute Resolution and Consumer Mediation (ADR / ODR)

12.1. Amicable Settlement: In the event of any disagreement, claim, or dispute arising out of or relating to your purchase, you agree to first submit an informal notification to our customer support team at info@mike-sorrentino.com, providing your order number and full details of the claim, so that we may attempt to resolve the matter amicably.

12.2. Alternative Dispute Resolution (ADR) under Italian Law: Pursuant to Article 141-sexies, paragraph 3 of the Italian Consumer Code (D.Lgs. 206/2005), if a dispute cannot be resolved directly between us following a formal complaint, we will inform the Consumer whether we intend to submit the dispute to an authorized Alternative Dispute Resolution (ADR) entity registered on the official list maintained by the Italian authorities (pursuant to Article 141-decies of the Consumer Code), including:

  • The mediation bodies registered with the Italian Ministry of Justice pursuant to D.Lgs. 28/2010; or

  • The Chamber of Arbitration and Mediation of Rome (Camera Arbitrale e di Mediazione di Roma).

12.3. European Online Dispute Resolution (ODR) Platform: Pursuant to Regulation (EU) No 524/2013, the European Commission provides an online platform for non-judicial resolution of disputes arising from online sales contracts between EU consumers and traders. 12.4. Voluntary Mediation: Recourse to an ADR/mediation body is voluntary and does not impair or prejudice your statutory right to bring formal legal proceedings before the competent judicial courts at any time, pursuant to Section 11 of these Terms.

14. Amendments to Terms

12.1. We reserve the right to amend these Terms prospectively at any time.

12.2. The version of these Terms posted and active at the time of your purchase will govern that specific transaction. Subsequent revisions to these Terms will not retroactively alter the conditions applicable to previously executed purchases.
